Article 1 — Purpose and scope
These General Terms and Conditions of Use (hereinafter the "T&C") define the terms and conditions under which the publisher of the MiningWorld Intelligence platform (hereinafter "the Publisher") makes available to its professional clients (hereinafter "the User" or "the Client") its mapping and analysis service for mining, industrial and financial data (hereinafter "the Service").
- Access to and use of the Service are strictly reserved for professional use. The Service is exclusively intended for legal entities, self-employed professionals or entities acting within the scope of their commercial, industrial, financial or advisory activity. Any use for personal, domestic or consumer purposes within the meaning of the Consumer Code is expressly excluded from these T&C.
- The Service is available by SaaS subscription (Software as a Service), according to the commercial formulas defined in the Special Conditions and/or in the signed contractual quote between the Parties.
- Access to and use of the Service, in any form whatsoever, imply full, complete and unconditional acceptance of these T&C by the User. The User acknowledges having read them prior to any subscription and accepts all of their provisions without restriction or condition.
- The Publisher reserves the right to modify these T&C at any time. The T&C applicable are those in force on the date of the User's connection to the Service. Continued use of the Service after modification constitutes acceptance of the modified T&C.
Article 2 — Disclaimer and limitation of liability
2.1 Indicative nature of the data
The User expressly acknowledges and accepts that all data, analyses, maps, indicators and estimates made available on the platform — including, without limitation, mineral resource and reserve data, data compliant with or referring to JORC, NI 43-101 or equivalent standards, financial indicators (Capex, Opex, AISC, NPV, IRR), metal and commodity prices, geopolitical, regulatory and tax data, as well as climate, environmental and social risk indices — are provided:
- "as is", without any warranty of any kind, express or implied;
- for purely informational and indicative purposes, derived from aggregation, automated processing and public or third-party sources over which the Publisher has no control over production, updating or accuracy.
The Publisher does not guarantee the accuracy, completeness, timeliness, reliability or relevance of the data displayed, whatever their origin (public source, third-party supplier, automated extraction or internal modelling).
2.2 No professional advice
MiningWorld Intelligence is not a financial advisory firm, a geological consultancy, a mining engineering firm, or an investment adviser. The Service does not in any case constitute:
- a recommendation to invest, buy, sell or arbitrage any asset whatsoever;
- a technical, geological or engineering opinion on the feasibility, viability or valuation of a mining or industrial project;
- legal, tax, regulatory or compliance advice.
It is exclusively up to the User to have any data from the platform verified, cross-checked and validated by qualified experts (certified geologists, engineers, financial analysts, legal advisers) before any decision or action, in particular of a financial, industrial, contractual or regulatory nature.
2.3 Exclusion of liability
The Publisher expressly excludes all liability, direct or indirect, for:
- any financial loss, loss of earnings, loss of business or loss of opportunity, whatever the cause;
- any investment, divestment, acquisition or divestment decision based in whole or in part on the data or analyses provided by the Service;
- any engineering error, technical sizing error or resource/reserve estimation error resulting from the use of the Service's data;
- any indirect, immaterial or consequential damage suffered by the User or by third parties as a result of using, being unable to use, or interpreting the Service's data.
This limitation of liability applies to the fullest extent permitted by applicable law, subject to mandatory provisions relating to gross or wilful misconduct on the part of the Publisher.
Article 3 — Intellectual property and database protection
3.1 Copyright protection
All elements making up the Service — user interface, source code, software architecture, algorithms, design, tree structure, visual identity, documentation and editorial content — constitute a work protected by intellectual property law, in particular copyright (Book I of the French Intellectual Property Code). These elements are the exclusive property of the Publisher or are subject to a valid operating licence granted to the Publisher.
No provision of these T&C may be interpreted as assigning, licensing or transferring any intellectual property right to the User, other than the strictly limited and non-exclusive right of use granted under its subscription.
3.2 Sui generis right of the database producer
The Publisher benefits, as producer, from the protection of the sui generis database right established by Articles L.341-1 et seq. of the French Intellectual Property Code, in that it has made a substantial financial, material and human investment in the constitution, verification and presentation of the content of the databases operated by the platform.
Consequently, the following are strictly prohibited without the prior written authorisation of the Publisher:
- the extraction or reutilisation of a substantial part, qualitatively or quantitatively, of the content of the database;
- the repeated and systematic extraction or reutilisation of even non-substantial parts of the content, when these operations manifestly exceed the normal conditions of use of the database.
3.3 Prohibited conduct
The User is expressly prohibited, on its own behalf and on behalf of any third party, from:
- using any indexing robot, automated extraction tool or scraper, script, plugin or similar tool intended to collect, extract or duplicate all or part of the Service's data or content;
- carrying out any massive copying, automated or systematic downloading, or creating a derived database from the Service's content;
- carrying out any reverse engineering, decompilation or disassembly of the software, except in cases strictly provided for by law;
- reselling, sublicensing, distributing, communicating to third parties or commercially exploiting, in any form whatsoever, aggregated, raw or derived data accessible via the platform, outside the strict internal use authorised by its subscription.
Any breach of this article will result in the immediate termination of the User's account, without prejudice to any legal action and any claim for compensation for the damage suffered by the Publisher.
Article 4 — Account and subscription management
4.1 Strictly personal accounts
Each user account created under a subscription ("seat") is strictly personal, nominative and non-transferable. It is associated with a single identified natural person, within the limit of the number of seats subscribed by the Client.
The sharing of login credentials, the simultaneous use of a single account by several people, or any sharing of access not compliant with the number of seats contractually subscribed are strictly prohibited.
4.2 Access security
The User is solely responsible for the confidentiality of its login credentials and for any activity carried out from its account. Any connection or action performed using the User's credentials is deemed to have been performed by the User, unless proven otherwise.
4.3 Sanctions in the event of breach
In the event of a proven or suspected breach of these T&C — in particular in the event of account sharing, use not compliant with the number of subscribed seats, or breach of the provisions of Article 3 relating to intellectual property — the Publisher reserves the right to immediately suspend or delete, without notice, access to the account concerned, without any refund, indemnity or compensation being due to the Client, without prejudice to any additional action the Publisher may deem appropriate.
Article 5 — Service availability and evolution
5.1 Best-efforts obligation
The Publisher undertakes to implement all reasonable means, in accordance with SaaS market standards, to ensure the availability, performance and security of the Service. This obligation is a best-efforts obligation and not an obligation of result. The Publisher does not guarantee uninterrupted, error-free or malfunction-free access to the Service.
5.2 Maintenance and interruptions
The Publisher may, at any time, carry out maintenance, update, correction or technical evolution operations on the Service, which may result in temporary, total or partial interruption of access to it. These interruptions, whether scheduled or required by a technical or security emergency, do not entitle the User to any compensation, price reduction or indemnity, unless expressly stipulated otherwise in the applicable Special Conditions.
5.3 Service evolution
The Publisher reserves the right to evolve, modify, enrich or withdraw, at any time and at its sole discretion, all or part of the features, data sources or modules of the Service, subject to informing Users by any appropriate means when such evolution is likely to substantially affect ordinary use of the Service.
